En­deav­our Hold­ings Ltd (EHL) yes­ter­day an­nounced that it had been ad­vised by its ma­jor­i­ty share­hold­er, En­deav­our ABRA Hold­ings Ltd of the sale by ABRA of 727,500 EHL com­mon shares.

In a no­tice post­ed on the web­site of the Trinidad and To­ba­go Stock Ex­change (TTSE), EHL said the sale rep­re­sent­ed ap­prox­i­mate­ly 3 per cent of its out­stand­ing com­mon shares.

The no­tice went on to out­line that the shares were sold on Feb­ru­ary 18, 2025, as part of a pri­vate treaty trans­ac­tion, which was com­plet­ed through the fa­cil­i­ties of the TTSE.

Ac­cord­ing to the is­suer in­for­ma­tion on the Ex­change, EHL’s is­sued share cap­i­tal is 32,887,619.

On Feb­ru­ary 18, EHL was trad­ing at $19 a share. If the trans­ac­tion took place at that price, it would be worth $13.82 mil­lion.

The no­tice was signed by John Aboud, the chair­man of EHL. Aboud is list­ed in the EHL an­nu­al re­port for 2024 as own­ing no shares in his own name.

In a note in the EHL an­nu­al re­port, Aboud and an­oth­er di­rec­tor of EHL, An­tho­ny Ra­hael, as of April 30, 2024, “are deemed to be re­lat­ed par­ties to En­deav­our ABRA Hold­ings by virtue of com­mon di­rec­tor­ships and/or share­hold­ings.”

En­deav­our ABRA Hold­ings Ltd owns 97.31 per cent of EHL ac­cord­ing to the 2024 an­nu­al re­port.
